These Terms and Conditions govern the services provided by:

All services are provided exclusively on a business-to-business (B2B) basis unless expressly agreed otherwise in writing.

2. Scope of Services

Castlab Solutions OÜ provides:

• Custom mold development and production

• Technical production coordination

• Jewelry casting and metal component manufacturing

• Surface finishing services

• Prototyping and small to medium production runs

All services are carried out based on client-approved specifications.

3. Quotations and Contract Formation

3.1 All quotations are non-binding unless explicitly stated otherwise.
3.2 A binding contract is formed only upon written confirmation by Castlab Solutions OÜ.
3.3 The client is solely responsible for the accuracy of approved drawings, 3D files, measurements, and technical specifications.
3.4 Production begins only after written approval and, where applicable, receipt of advance payment.

 

4. Pricing and Payment

4.1 All prices are stated in EUR.
4.2 VAT is applied in accordance with Estonian and EU regulations.
4.3 Payment terms are specified in the quotation or invoice.
4.4 Late payments may result in statutory interest under Estonian law.
4.5 Castlab Solutions OÜ reserves the right to suspend production in case of overdue payments.

5. Mold and Tooling Ownership

5.1 Unless otherwise agreed in writing, molds, tooling, master models, production files, and technical adaptations created by Castlab Solutions OÜ remain the property of Castlab Solutions OÜ, even if partially invoiced to the client.

5.2 If full ownership transfer is agreed, this must be explicitly stated in the quotation or contract.

5.3 Castlab Solutions OÜ reserves the right to retain physical possession of molds for quality control and production continuity unless otherwise agreed.

5.4 Storage of molds beyond 12 months of inactivity may be subject to storage fees or disposal unless otherwise agreed.

6. Intellectual Property

6.1 The client warrants that any designs, logos, or technical files provided do not infringe third-party intellectual property rights.

6.2 The client fully indemnifies Castlab Solutions OÜ against claims arising from IP infringement related to client-provided materials.

6.3 Production methods, technical adjustments, casting techniques, internal process optimizations, and manufacturing know-how remain the exclusive property of Castlab Solutions OÜ.

6.4 No transfer of manufacturing know-how is implied unless explicitly agreed in writing.

7. Manufacturing Tolerances and Variations

7.1 Due to the nature of casting and finishing processes, minor variations in weight, dimensions, tone, surface texture, and oxidation depth may occur.

7.2 Such variations do not constitute defects if they fall within industry-accepted tolerances.

7.3 Natural wear, oxidation evolution, or material aging is not considered a manufacturing defect.

8. Delivery and Risk Transfer

8.1 Delivery times are estimates and not guaranteed unless explicitly agreed.

8.2 Risk transfers to the client upon handover to the carrier.

8.3 Castlab Solutions OÜ is not liable for delays caused by logistics providers or customs authorities.

9. Limitation of Liability

9.1 Liability is limited to the net value of the specific order in question.

9.2 Castlab Solutions OÜ shall not be liable for indirect, incidental, special, or consequential damages, including loss of profit or business interruption.

9.3 Claims must be submitted in writing within 14 days of delivery.

10. Confidentiality

All technical, commercial, and strategic information exchanged during cooperation shall be treated as confidential.

11. Force Majeure

Castlab Solutions OÜ is not liable for failure or delay caused by circumstances beyond reasonable control, including supply chain disruption, material shortages, labor disputes, or governmental restrictions.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Estonia.

Any dispute shall be subject to the exclusive jurisdiction of Estonian courts.
